Pourquoi l\u2019op\u00e9ration a largement manqu\u00e9 sa cible<\/strong><\/p>\n\n\n\n

L\u2019introduction en Bourse du holding du groupe BGFIBank sur le march\u00e9 financier d\u2019Afrique centrale devait marquer un tournant pour le secteur bancaire r\u00e9gional. Mais \u00e0 la cl\u00f4ture de l\u2019op\u00e9ration, le r\u00e9sultat est tr\u00e8s en de\u00e7\u00e0 des attentes : seulement 4,3 milliards de F CFA mobilis\u00e9s, loin des 125 milliards recherch\u00e9s. Plusieurs facteurs expliquent cette contre-performance.<\/em><\/p>\n\n\n

L\u2019offre publique de vente (OPV) lanc\u00e9e par BGFI Holding Corporation<\/strong> n\u2019a pas rencontr\u00e9 l\u2019adh\u00e9sion esp\u00e9r\u00e9e des investisseurs. Ouverte le 10 novembre 2025 dans le cadre d\u2019une introduction en Bourse par appel public \u00e0 l\u2019\u00e9pargne, l\u2019op\u00e9ration visait la cession de 10 % du capital du groupe bancaire.<\/p>\n\n\n\n

Au total, 1 573 536 actions nouvelles d\u2019une valeur nominale de 80 000 F CFA chacune \u00e9taient propos\u00e9es au public. L\u2019objectif \u00e9tait clair : lever environ 125,8 milliards de F CFA afin de soutenir l\u2019expansion du groupe, am\u00e9liorer sa rentabilit\u00e9 et renforcer sa visibilit\u00e9 sur le march\u00e9 financier r\u00e9gional.<\/p>\n\n\n\n

Mais \u00e0 la cl\u00f4ture de l\u2019op\u00e9ration, d\u00e9but mars 2026, le montant r\u00e9ellement souscrit n\u2019a atteint qu\u2019environ 4,3 milliards de F CFA. Malgr\u00e9 la prolongation de la p\u00e9riode de souscription accord\u00e9e par le r\u00e9gulateur, la Commission de surveillance du march\u00e9 financier de l\u2019Afrique centrale<\/strong>, l\u2019objectif est rest\u00e9 tr\u00e8s loin d\u2019\u00eatre atteint.<\/p>\n\n\n\n

Plusieurs explications sont avanc\u00e9es par les analystes. D\u2019abord, la faible profondeur du march\u00e9 financier d\u2019Afrique centrale et le manque de liquidit\u00e9 continuent de limiter la capacit\u00e9 de mobilisation de capitaux importants.<\/p>\n\n\n\n

Ensuite, certains investisseurs ont jug\u00e9 le prix de l\u2019action relativement \u00e9lev\u00e9, tandis que le plafond d\u2019investissement autoris\u00e9 par souscripteur aurait \u00e9galement r\u00e9duit l\u2019ampleur des engagements.<\/p>\n\n\n\n

Le calendrier de l\u2019op\u00e9ration a aussi jou\u00e9 un r\u00f4le. Lanc\u00e9e en fin d\u2019ann\u00e9e, p\u00e9riode traditionnellement marqu\u00e9e par la cl\u00f4ture des bilans et une prudence accrue des investisseurs, l\u2019IPO n\u2019a pas b\u00e9n\u00e9fici\u00e9 d\u2019un momentum favorable.<\/p>\n\n\n\n

Enfin, les tensions internes apparues au sein de l\u2019actionnariat du groupe, port\u00e9es devant le tribunal de commerce de Libreville, ont pu alimenter les interrogations sur la gouvernance du holding. Pour plusieurs observateurs, une communication financi\u00e8re plus structur\u00e9e aurait peut-\u00eatre permis de rassurer le march\u00e9 et d\u2019am\u00e9liorer la lisibilit\u00e9 strat\u00e9gique de l\u2019op\u00e9ration.<\/p>\n\n\n\n
